Terms of Service

1. Agreement and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and PricedQuote ("PricedQuote", "we", "us", or "our") governing your access to and use of the PricedQuote website at www.pricedquote.com and the PricedQuote application at app.pricedquote.com (together, the "Service").

By registering for an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

In these Terms, the following words and phrases have the meanings set out below:

• Account — your registered account on the Service, including your credentials, settings, and associated Content.
• Content — any data, text, documents, files, settings, or other material that you create, upload, or store within the Service, including quotes, cost models, client information, playbooks, and generated outputs.
• Plan — the subscription tier you have selected (Free, Plus, or Pro), as described on our pricing page.
• Subscription Fee — the recurring charge payable for access to a paid Plan.
• Service — the PricedQuote software platform, website, and any related documentation or support materials provided by us.
• User — any individual who accesses the Service using an Account, including account owners and any team members added to an Account.

3. The Service

3.1 Description

PricedQuote is a software-as-a-service platform that provides job costing, quote building, proposal generation, pipeline management, and related tools for trade, service, and logistics businesses. The specific features available to you depend on your Plan.

3.2 Service Availability

We aim to make the Service available 24 hours a day, seven days a week. However, we do not guarantee uninterrupted availability. We may need to suspend or restrict access to the Service for maintenance, updates, security reasons, or circumstances beyond our reasonable control. We will endeavour to give advance notice of planned maintenance where this is reasonably practicable.

3.3 Updates and Changes

We reserve the right to modify, update, or discontinue features of the Service at any time. We will give reasonable notice of changes that materially reduce the functionality of a paid Plan. Minor feature additions, adjustments, and bug fixes may be deployed without notice and are subject to these Terms.

3.4 Third-Party Services

The Service may integrate with or link to third-party services (for example, payment processors). Your use of any third-party service is governed by that party's own terms and privacy policy. We are not responsible for the practices or content of third-party services.

4. Accounts and Access

4.1 Registration

To access most features of the Service, you must register for an Account by providing accurate, current, and complete information. You agree to keep your Account information up to date and to notify us promptly of any changes.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must not share your credentials with any third party. You agree to notify us immediately at hello@pricedquote.com if you become aware of any unauthorised use of your Account or any other security breach.

4.3 Account Eligibility

You must be at least 18 years of age to create an Account. If you are creating an Account on behalf of a business, you represent that the business is lawfully constituted and that you have authority to act on its behalf.

4.4 One Account per User

Each Account is for use by the individual or organisation that registered it. You must not create multiple Accounts to circumvent Plan limits or other restrictions. Team member access is provided through the multi-user features of the Pro Plan.

5. Acceptable Use

5.1 Permitted Use

You may use the Service solely for your own lawful business quoting and cost management purposes in accordance with these Terms.

5.2 Prohibited Conduct

You must not use the Service to:

• Violate any applicable law, regulation, or third-party right
• Transmit any material that is unlawful, harmful, fraudulent, defamatory, or otherwise objectionable
• Attempt to gain unauthorised access to any part of the Service, its infrastructure, or any other system connected to it
• Interfere with or disrupt the integrity or performance of the Service, or the experience of other users
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
• Scrape, copy, or systematically download content from the Service by automated means without our prior written consent
• Resell or sublicense access to the Service to third parties without our prior written agreement
• Use the Service to transmit unsolicited commercial communications (spam)
• Upload or introduce any malware, virus, or other harmful code to the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

5.3 Enforcement

We reserve the right to investigate suspected violations of these acceptable use provisions. If we reasonably believe a violation has occurred, we may suspend or terminate your Account without prior notice, and may report the conduct to relevant authorities where required by law.

6. Your Content and Data

6.1 Ownership

You retain full ownership of all Content you create or upload to the Service. These Terms do not grant us any ownership rights in your Content.

6.2 Licence to Us

By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and use your Content solely to the extent necessary to provide the Service to you — including generating documents, displaying your Content within the application, and creating backups. We do not use your Content for any purpose outside of providing and improving the Service.

6.3 Your Responsibility for Content

You are solely responsible for your Content and for ensuring that it:

• Does not infringe any third-party intellectual property rights
• Does not contain personal data of third parties (such as client details) unless you have a lawful basis to store and process that data
• Does not violate any applicable law or regulation

6.4 Client Data You Enter

If you enter personal data about your clients (for example, names, addresses, contact details) into the Service, you are the data controller for that personal data. We act as your data processor. You are responsible for ensuring you have appropriate authority to store and process your clients' personal information and that doing so complies with applicable data protection law, including the UK GDPR or equivalent legislation in your jurisdiction.

6.5 Data Export

You may export your Content at any time using the export tools available within the Service. We encourage you to maintain your own backups of important Content.

6.6 Data on Termination

On termination of your Account, we will retain your Content for 30 days to allow retrieval, after which it will be deleted in accordance with our Privacy Policy. We are not liable for any loss of Content following the deletion period.

7. Payment and Plans

7.1 Free Plan

A Free Plan is available with limited functionality as described on our pricing page. No payment is required for the Free Plan.

7.2 Paid Plans

Paid Plans (Plus and Pro) are available on a monthly or annual subscription basis. Subscription Fees are charged in advance for each billing period. By subscribing to a paid Plan, you authorise us (or our payment processor) to charge the applicable Subscription Fee to your chosen payment method on a recurring basis until you cancel.

7.3 Launch Period

During any announced launch offer or promotional period, the pricing and access terms stated in the relevant promotional communication apply in lieu of standard plan pricing. At the end of any promotional period, access transitions to the applicable standard plan terms as described on our pricing page. We will notify you before any promotional access period ends.

7.4 Pricing Changes

We may change Subscription Fees at any time. For existing subscribers, we will give at least 30 days' notice of any fee increase before the new rate takes effect. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. If you do not accept a price increase, you may cancel your subscription before the new rate applies.

7.5 Cancellation

You may cancel your paid subscription at any time from your Account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to the paid Plan features until that date, after which your Account will revert to the Free Plan. We do not issue refunds for unused portions of a billing period except where required by applicable consumer protection law.

7.6 Failed Payments

If a payment fails, we will attempt to notify you and may retry the charge. If payment remains outstanding after reasonable notice, we reserve the right to suspend or downgrade your Account to the Free Plan until the outstanding amount is resolved.

7.7 Taxes

Subscription Fees are stated exclusive of applicable taxes unless otherwise stated. You are responsible for any sales tax, VAT, GST, or similar tax applicable to your subscription in your jurisdiction.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its software, design, user interface, features, documentation, and all associated intellectual property rights, is owned by PricedQuote or its licensors. Nothing in these Terms grants you any rights in or to the Service other than the limited right to use it in accordance with these Terms.

8.2 Restrictions

You must not: copy, adapt, or create derivative works of the Service or its underlying code; remove or obscure any copyright, trademark, or other proprietary notices from the Service; use PricedQuote's name, logo, or trademarks without our prior written consent.

8.3 Feedback

If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, royalty-free licence to use that Feedback for any purpose, including incorporating it into the Service, without any obligation to you.

9. Confidentiality

Each party may receive confidential information from the other in the course of using or providing the Service. Each party agrees to keep the other's confidential information confidential and not to disclose it to any third party, except:

• To its employees, contractors, or advisers who need to know the information for the purposes of the Service and who are bound by equivalent confidentiality obligations
• As required by applicable law, court order, or regulatory authority — provided that reasonable notice is given to the other party where permitted by law

This obligation does not apply to information that is or becomes publicly available other than through a breach of this clause, or that was independently developed by the receiving party without reference to the confidential information.

Your Content is treated as confidential. We will not access your Content except as necessary to provide the Service, to respond to a support request you have made, or as required by law.

10. Disclaimers

10.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 No Financial or Professional Advice

PricedQuote is a productivity tool for building quotes and cost models. The outputs generated by the Service — including cost calculations, margin figures, and pricing recommendations — are based solely on the data you enter. We do not provide financial, accounting, legal, or tax advice. You are solely responsible for the accuracy of your inputs and for verifying any outputs before relying on them for business decisions.

10.3 No Guarantee of Results

We make no representation or warranty that use of the Service will lead to any particular business outcome, including winning more work, improving profitability, or reducing disputes. The effectiveness of quoting and pricing decisions depends on many factors outside our control.

10.4 Third-Party Content

The Service may link to or display content from third parties. We do not endorse and are not responsible for any third-party content, products, or services.

11. Limitation of Liability

11.1 Exclusion of Certain Losses

To the fullest extent permitted by applicable law, PricedQuote shall not be liable to you for any:

• Loss of profits, revenue, or anticipated savings
• Loss of business, contracts, or opportunities
• Loss of data or corruption of data
• Loss of goodwill or reputation
• Indirect, incidental, special, consequential, or punitive damages

— arising out of or in connection with the Service or these Terms, even if we have been advised of the possibility of such losses.

11.2 Cap on Liability

Our total aggregate liability to you for all claims arising out of or in connection with the Service or these Terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of: (a) the total Subscription Fees paid by you to PricedQuote in the 12 months immediately preceding the event giving rise to the claim; or (b) £100.

11.3 Essential Terms

The limitations and exclusions in this section reflect a fair allocation of risk between you and PricedQuote and are an essential element of the basis on which we provide the Service. We would not be able to provide the Service at the prices charged without these limitations.

11.4 Consumer Rights

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law. If you are a consumer (rather than a business user), nothing in these Terms affects your statutory rights.

12. Indemnity

You agree to indemnify, defend, and hold harmless PricedQuote and its directors, employees, and agents from and against any claims, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms
• Any Content you create, upload, or transmit through the Service
• Any violation of applicable law by you
• Any infringement by you of any third party's intellectual property or other rights

13. Termination

13.1 Termination by You

You may close your Account at any time by using the account deletion option in your Account settings, or by contacting us at hello@pricedquote.com. Closure of a paid Account takes effect at the end of the current billing period as described in clause 7.5.

13.2 Termination by Us

We may suspend or terminate your Account and access to the Service immediately and without prior notice if:

• You materially breach these Terms and fail to remedy the breach within 14 days of written notice (where the breach is capable of remedy)
• You commit a serious or repeated breach of the acceptable use provisions in clause 5
• You fail to pay any Subscription Fee that is overdue after reasonable notice
• We are required to do so by applicable law or a competent authority
• We reasonably believe your Account is being used fraudulently or in a way that endangers the Service or other users

We may also terminate the Service altogether on 60 days' written notice to all users.

13.3 Effect of Termination

On termination of your Account for any reason: your access to the Service ceases immediately; any outstanding Subscription Fees become due; and we will retain and then delete your Content as described in clause 6.6. Clauses 6, 8, 9, 10, 11, 12, 15, and 16 survive termination of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users by email at least 14 days before the changes take effect
• Display a notice within the application

If you do not agree to the updated Terms, you may close your Account before the effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

For minor changes that do not materially affect your rights — such as corrections of typographical errors, clarifications, or additions reflecting new features — we may update these Terms with immediate effect and without advance notice.

15. Governing Law and Disputes

15.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

15.2 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, except that we retain the right to bring proceedings against you for breach of these Terms in any jurisdiction.

15.3 Dispute Resolution

Before initiating formal legal proceedings, we encourage you to contact us at hello@pricedquote.com to seek an informal resolution. We will endeavour to respond to all complaints within five business days and to resolve disputes in good faith.
